These Terms of Use ("Terms") govern your access to and use of the WiseLiquid website, customer portal, APIs, communication infrastructure, messaging services, software, dashboards, integrations, and other related products and services (collectively, the "Services") provided by WiseLiquid Consultancy and Services ("WiseLiquid", "we", "us", or "our").

By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agreed to these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree with these Terms, you must not access or use the Services.

01. Acceptance of Terms

By creating an account, accessing the WiseLiquid platform, using our APIs, purchasing credits or communication services, or otherwise using any part of the Services, you agree to be legally bound by these Terms and all applicable laws, regulations, telecom requirements, carrier policies, and third-party provider requirements.

These Terms apply to all customers, businesses, developers, resellers, partners, administrators, and authorized users accessing the Services.

Where a separate written agreement, order form, service agreement, enterprise agreement, statement of work, or commercial proposal exists between WiseLiquid and the customer, that document may govern the specific commercial or service terms identified therein. In the event of a conflict, the applicable written agreement will prevail to the extent of that conflict.

02. Description of Services

WiseLiquid provides technology and communication infrastructure that may enable customers to create, manage, automate, transmit, monitor, and receive business communications through supported channels and integrations.

Depending on the applicable subscription, order, or service configuration, the Services may include:

WiseLiquid may add, modify, replace, suspend, or discontinue individual features or communication channels where reasonably necessary for security, regulatory compliance, technical improvements, provider requirements, or business operations.

03. Eligibility and Account Registration

You must provide accurate, complete, and current information when creating or maintaining an account.

WiseLiquid may require additional business verification, identity verification, documentation, sender information, use-case information, consent evidence, or other information before activating or continuing particular Services.

The customer is solely responsible for the content, recipients, databases, contact lists, applications, campaigns, and communications submitted through the Services.

You represent and warrant that:

WiseLiquid provides communication infrastructure and does not independently determine whether a customer's communication is lawful or whether a recipient has provided valid consent.

05. Telecom, DLT and Regulatory Compliance

Customers sending communications within India must comply with all applicable requirements of the Telecom Regulatory Authority of India (TRAI), telecom operators, distributed ledger technology (DLT) systems, and other applicable regulatory authorities.

Where applicable, customers are responsible for maintaining valid:

Commercial communications must comply with applicable telecom regulations and customer preferences, including the applicable Telecom Commercial Communications Customer Preference Regulations (TCCCPR) framework and related directions. TRAI's current framework specifically addresses unsolicited commercial communication and the registration/use of headers, templates and consent mechanisms.

WiseLiquid may reject, delay, suspend, or block communications where required by applicable law, regulatory direction, carrier requirements, provider policies, or internal anti-abuse controls.

Customers remain responsible for ensuring that their sender identity, content template, consent mechanism, and communication purpose are correctly registered and approved.

06. Acceptable Use Policy

You may use the Services only for lawful and legitimate business communication.

You must not use the Services to transmit, distribute, facilitate, or promote:

WiseLiquid maintains anti-abuse controls and may investigate traffic patterns, delivery behavior, complaint rates, content, sender information, and other indicators of misuse where reasonably necessary to protect the platform, customers, recipients, carriers, or regulatory compliance.

07. Messaging Consent and Opt-Out Requirements

Customers are responsible for ensuring that recipients receive communications in accordance with applicable consent and preference requirements.

Where applicable, customers must provide recipients with appropriate mechanisms to:

WiseLiquid may implement automated suppression, filtering, blocking, or other controls where required by law, carrier policy, provider requirements, or WiseLiquid's anti-abuse systems.

08. API and Technical Usage

Where WiseLiquid provides APIs, SDKs, webhooks, SMTP services, or other technical interfaces, customers must use them in accordance with applicable documentation and reasonable technical limits.

Customers must not:

WiseLiquid may impose or modify API rate limits, quotas, message limits, concurrency limits, or other technical restrictions to maintain platform stability and security.

09. Service Providers and Third-Party Infrastructure

WiseLiquid may use third-party telecommunications operators, messaging providers, cloud infrastructure providers, email providers, carrier networks, technology partners, aggregators, and other service providers to deliver portions of the Services.

Accordingly, message delivery may depend on infrastructure outside WiseLiquid's direct control.

Third-party providers may impose their own:

WiseLiquid may modify the underlying provider, routing method, carrier, or infrastructure used to provide the Services without prior notice where reasonably necessary.

10. Message Delivery and Service Reliability

WiseLiquid will use commercially reasonable efforts to provide reliable communication infrastructure.

However, successful submission of a message to WiseLiquid does not guarantee delivery to the intended recipient.

Delivery may be affected by:

Delivery reports and status information are provided based on information received from available downstream providers and may not always represent real-time or absolute confirmation of recipient interaction.

11. Service Availability

WiseLiquid will make commercially reasonable efforts to maintain availability of the Services.

However, uninterrupted or error-free operation cannot be guaranteed.

12. Fees, Billing and Account Credits

Applicable fees, message charges, subscription charges, API charges, infrastructure charges, taxes, and other costs will be communicated through the applicable quotation, order form, pricing page, account portal, or commercial agreement.

Unless otherwise agreed:

WiseLiquid may suspend chargeable Services where an account has insufficient balance, overdue payments, failed payment methods, or material billing disputes.

13. Refunds and Usage Disputes

Communication services are generally consumed when messages or other communications are submitted to the applicable communication infrastructure.

Unless otherwise expressly agreed in writing, fees for successfully submitted or processed communications are non-refundable.

Customers must notify WiseLiquid of billing or usage discrepancies within a reasonable period after the relevant invoice, statement, or transaction.

WiseLiquid may investigate usage disputes using platform records, provider records, logs, delivery records, and billing information.

14. Intellectual Property

All rights, title, and interest in and to the WiseLiquid platform, software, APIs, documentation, interfaces, designs, trademarks, logos, technology, databases, processes, and other proprietary materials remain the property of WiseLiquid or its respective licensors.

Except for the limited right to use the Services during the applicable subscription or service period, no rights are transferred to the customer.

15. Customer Content and Data

Customers retain ownership of their content, communication data, contact information, templates, and other information submitted to the Services, subject to the rights necessary for WiseLiquid to provide the Services.

You grant WiseLiquid a limited, non-exclusive, worldwide license to host, process, transmit, store, reproduce, and otherwise process customer content solely as reasonably necessary to:

WiseLiquid will handle personal data in accordance with its applicable Privacy Policy and other contractual data-processing arrangements.

Where applicable, the parties will comply with relevant data-protection laws and regulations, including India's Digital Personal Data Protection framework to the extent applicable to the relevant processing activities. The DPDP Act, 2023 establishes a framework for processing digital personal data, and the DPDP Rules, 2025 provide additional implementation requirements with phased commencement.

16. Security

WiseLiquid implements reasonable technical and organizational measures designed to protect its infrastructure and customer information.

Customers are responsible for implementing appropriate security measures within their own applications, systems, databases, integrations, and endpoints.

Customers must immediately notify WiseLiquid if they become aware of:

Customers must not intentionally introduce security vulnerabilities into the WiseLiquid environment.

17. Confidentiality

Each party may receive confidential or proprietary information from the other party in connection with the Services.

Each party agrees to:

Confidentiality obligations do not apply to information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by applicable law.

Where a separate confidentiality or non-disclosure agreement exists, that agreement will govern the relevant confidential information.

18. Prohibited Security Activities

19. Monitoring and Abuse Prevention

To protect WiseLiquid, its customers, recipients, communication providers, and network partners, WiseLiquid may use automated and manual systems to detect suspicious or abusive activity.

20. Suspension and Termination

WiseLiquid may temporarily suspend or restrict access to all or part of the Services where reasonably necessary to:

Customers may terminate their use of the Services in accordance with their applicable commercial agreement.

Upon termination, WiseLiquid may disable access to the platform and APIs and may retain certain information where required for legal, security, accounting, fraud-prevention, or regulatory purposes.

21. Consequences of Termination

Termination does not relieve either party from obligations that accrued before termination.

Any unpaid fees, outstanding liabilities, confidentiality obligations, intellectual-property protections, indemnification obligations, disclaimers, limitations of liability, and dispute-resolution provisions that by their nature should survive termination will continue to apply.

22. Indemnification

To the maximum extent permitted by applicable law, the customer agrees to defend, indemnify, and hold harmless WiseLiquid, its owners, employees, contractors, suppliers, service providers, and partners from claims, damages, liabilities, penalties, costs, and expenses arising from:

To the maximum extent permitted by applicable law, the Services are provided on an "as is" and "as available" basis.

WiseLiquid does not warrant that:

Except where expressly stated in a written agreement, WiseLiquid disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, to the maximum extent permitted by applicable law.

24. Limitation of Liability

To the maximum extent permitted by applicable law, WiseLiquid and its owners, employees, contractors, suppliers, service providers, and partners will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including:

To the maximum extent permitted by law, WiseLiquid's aggregate liability arising out of or relating to the Services or these Terms will not exceed the total fees actually paid by the customer to WiseLiquid for the affected Services during the three (3) months immediately preceding the event giving rise to the claim, unless a different limitation is expressly agreed in writing.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law.

25. Force Majeure

WiseLiquid will not be responsible for failure or delay caused by events beyond its reasonable control, including:

26. Changes to Services and Terms

The Services may contain links to or integrations with third-party services.

WiseLiquid does not control third-party services and is not responsible for their availability, content, policies, security, pricing, or performance.

Your use of third-party services may be subject to separate terms and privacy policies imposed by those providers.

28. Resellers, Partners and Sub-Accounts

Customers may not resell, sublicense, white-label, or commercially redistribute WiseLiquid Services unless expressly authorized under a written reseller, partner, enterprise, or commercial agreement.

Where WiseLiquid authorizes a customer to create sub-accounts or provide communication services to its own customers, the authorized customer remains responsible for:

The authorized customer must ensure that its downstream users are bound by terms that provide protections at least equivalent to those required by WiseLiquid.

29. Geographic and Regulatory Restrictions

Certain Services may not be available in all countries, regions, networks, or destinations.

WiseLiquid may restrict or disable particular routes, destinations, sender identities, message types, or communication channels where required by:

30. Governing Law

These Terms will be governed by and interpreted in accordance with the laws of India, without regard to conflict-of-law principles.

Subject to any mandatory legal requirements, disputes relating to these Terms or the Services will be subject to the jurisdiction of the competent courts at Bhubaneswar, Odisha, India, unless a separate written agreement provides otherwise.

For enterprise customers, WiseLiquid may agree to separate dispute-resolution, arbitration, jurisdiction, or governing-law provisions through a written agreement.

31. Notices and Communications

WiseLiquid may provide notices relating to the Services through:

32. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be interpreted to the maximum extent permitted by law, and the remaining provisions will continue in full force and effect.

33. No Waiver

Failure by WiseLiquid to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.

34. Assignment

Customers may not assign or transfer their rights or obligations under these Terms without WiseLiquid's prior written consent, except where permitted under applicable law in connection with a merger, acquisition, or transfer of substantially all business assets.

WiseLiquid may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, sale of assets, or transfer of the relevant business.

35. Entire Agreement

These Terms, together with applicable order forms, quotations, service agreements, SLAs, commercial agreements, Privacy Policy, and other expressly incorporated policies, constitute the agreement governing your use of the Services.

These Terms supersede prior understandings relating to the general use of the WiseLiquid platform unless a separate written agreement expressly provides otherwise.

Enterprise Advisory

WiseLiquid provides communication technology and infrastructure designed to help businesses manage digital communications at scale.

Customers are responsible for ensuring that their use of the Services, communication content, recipient information, consent practices, and business processes comply with all applicable laws, regulations, telecom requirements, carrier policies, and contractual obligations.

Nothing in these Terms should be interpreted as legal advice or as a guarantee that a particular communication, campaign, use case, or business process is legally compliant.

For enterprise agreements, dedicated SLAs, data-processing arrangements, reseller arrangements, or other contractual requirements, customers should contact WiseLiquid before commencing the relevant Services.
